In this roundup, we look at 3(a)(2) issuances that were disclosed to the Office of the Comptroller of the Currency (OCC) in Q3 2024.
Between July and September, there were nine issuances for accredited investors in the US by ANZ, J.P. Morgan, Morgan Stanley or Citibank, including one with a 40-year tenor and three with US$1.5 billion notional each. They were offered via an exemption from registration under the Securities Act provided by Section 3(a)(2) and thereof and (ii) Section 16.6 of Part 16 of the OCC’s regulations.
